1. Agreement Overview
This Master Services Agreement ("Agreement") is entered into between TripSlice, a product of C2MCI Group, Inc. ("TripSlice," "we," "us," or "our") and you ("Customer," "you," or "your") governing your use of TripSlice's AI-powered travel planning platform and related services.
By creating an account, accessing, or using our services, you agree to be bound by this Agreement and our Privacy Policy.
2. Service Description
2.1 Platform Services
TripSlice provides:
- AI-powered travel itinerary generation, optimization, suggestions, recommendations and insights based on chat subject matter
- Collaborative trip planning tools and real-time chat
- Booking assistance for free reservations only (paid plans)
- Multi-platform synchronization (web, mobile, chat platforms)
- Data export and trip sharing capabilities
2.2 Pricing Model
- Free Tier: Basic AI drafts and trip planning features
- Per-Trip Pricing: Enhanced features and AI capabilities charged per trip created
- Premium Features: Advanced booking assistance, priority support, and collaboration tools available per trip
- Top-Up Options: AI tokens and chat messages available for purchase to extend usage limits
3. Account Registration and Security
3.1 Account Requirements
- You must provide accurate, current, and complete information
- You are responsible for maintaining account security and confidentiality
- One account per person; business accounts available for teams
- You must be at least 18 years old or have parental consent
3.2 Account Termination
- Either party may terminate this Agreement with 30 days' written notice
- We may suspend or terminate accounts for violations of this Agreement
- Upon termination, you retain access to export your data for 90 days
4. Acceptable Use Policy
4.1 Permitted Uses
- Personal and business travel planning
- Collaboration with authorized trip participants
- Integration with supported third-party services
- Reasonable use of AI features within plan limitations
4.2 Prohibited Activities
- Violating any applicable laws or regulations
- Attempting to reverse engineer or compromise our systems
- Using the service for illegal activities or harmful content
- Exceeding rate limits or attempting to bypass usage restrictions
- Sharing accounts or credentials with unauthorized parties
5. Payment Terms and Billing
5.1 Per-Trip Billing
- Charges are applied per trip created with premium features
- Payment is processed when premium features are activated for a trip
- All fees are non-refundable except as required by law
- Price changes require 30 days' advance notice
5.2 Additional Services
- Booking assistance for free reservations only (paid plans)
- Premium collaboration features are charged per trip basis
5.3 Taxes
Customer is responsible for all applicable taxes, duties, and governmental charges.
6. Intellectual Property Rights
6.1 TripSlice IP
- We retain all rights to our platform, algorithms, and proprietary technology
- Our trademarks, logos, and brand elements remain our exclusive property
- You receive a limited license to use our services as intended
6.2 Customer Content
- You retain ownership of your travel plans, messages, and uploaded content
- You grant us a license to process your content to provide our services
- We may use anonymized, aggregated data to improve our services
7. Data Protection and Privacy
7.1 Data Processing
- We process your personal data in accordance with our Privacy Policy
- For Canadian customers: Compliance with PIPEDA and Quebec Law 25
- For EU customers: GDPR compliance with appropriate safeguards
7.2 Data Security
- We implement industry-standard security measures
- Regular security audits and penetration testing
- Incident response procedures with timely breach notifications
7.3 Data Portability
- You may export your data at any time in standard formats
- Data export includes itineraries, messages, preferences, and metadata
- Deleted data is permanently removed within 90 days
8. Service Level Agreement
8.1 Uptime Commitment
- Free Tier: Best effort availability (no SLA)
- Premium Trips: 99.5% monthly uptime commitment
- Enterprise Trips: 99.9% monthly uptime commitment with priority support
8.2 Support Response Times
- Free: Community support, best effort response
- Pro: Email support within 24 hours (business days)
- Premium: Priority support within 4 hours (24/7)
9. Limitation of Liability
9.1 Service Limitations
- AI recommendations are suggestions, not guarantees
- We are not a licensed travel agent or booking service
- We only assist with free reservations; paid reservations requiring payment are the customer's sole responsibility
- Customers are responsible for verifying travel requirements and restrictions
9.2 Liability Cap
- Our total liability is limited to fees paid for the specific trip in question
- We are not liable for indirect, consequential, or punitive damages
- Some jurisdictions may not allow these limitations
10. Dispute Resolution
10.1 Governing Law
- Canadian customers: Governed by the laws of Quebec, Canada
- US customers: Governed by the laws of Delaware, USA
- EU customers: Subject to applicable EU consumer protection laws
10.2 Resolution Process
- Direct negotiation: 30-day good faith negotiation period
- Mediation: Binding mediation if negotiation fails
- Arbitration: Final binding arbitration for unresolved disputes
